Terms of Service

Version 2 of 12 September 2026. It replaces the version of 28 November 2025.

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of the NidApp platform ("Service") provided by NidApp SAS ("NidApp", "we", "us", or "our"). By accessing or using our Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service.

For business customers, the signed service agreement and its annexes (service level, support policy, data processing agreement) prevail over these terms of use.

3. Service Description

NidApp is a Platform as a Service (PaaS) that provides managed DevOps infrastructure, including:

  • Managed Kubernetes deployments
  • Application hosting and deployment automation
  • Database and service management
  • GitOps-based infrastructure as code
  • Monitoring, logging, and observability tools

All services are deployed in the EU (Paris, France, europe-west9 region) on Google Cloud Platform infrastructure.

4. Billing and Payment

4.1 Pricing Model

Services are billed on actual consumption, by the hour started, per the price list in force annexed to the signed quote, or at a flat rate where the signed agreement provides for it. The prices shown in the console and on this website are indicative; the invoice carries the measured consumption. The signed agreement prevails over these terms.

4.2 Trial Period

No free trial is offered by default. A pilot period may be agreed in the contract.

4.3 Refund Policy

No refunds will be issued if services have already been consumed. You pay for actual resource usage. If you believe you have been incorrectly charged, please contact us at contact@nidapp.io within 30 days of the charge.

4.4 Payment Terms

The invoice is issued on the 4th of the month following the month consumed, in euros excluding tax, VAT in addition at the rate in force. Payment is made by bank transfer within 30 days of the invoice date. Late payment carries interest at the legal rate and a fixed recovery charge of 40 euros per invoice. Failure to pay may lead to suspension of the service after formal notice.

5. Service Level and Support

5.1 Service Level

The applicable service level is defined in the service level annex of the signed customer agreement, which prevails over these terms. No quantified availability commitment arises from these terms of use.

5.2 Limitations and Exclusions

NidApp is NOT responsible for:

  • Incidents caused by the cloud provider or by a sub-processor listed in the data processing agreement
  • Interruptions during the weekly maintenance window defined in the service level annex, announced in advance
  • Configuration errors, actions or omissions of the customer or of its users
  • Defects of the customer's own application, of its dependencies or of its data
  • Quota overruns, volumetric attacks and denial of service
  • Force majeure events

5.3 Support

Support runs through a single channel, by email at contact@nidapp.io or through the support form of the console. Human support is provided Monday to Friday, from 9 am to 6 pm Paris time, excluding French public holidays. A request received outside those hours is deemed received at the opening of the next business window. The support levels, their acknowledgement times and their prices are set out in the support policy annex of the signed agreement. Automatic monitoring of the platform runs continuously; it does not amount to a commitment of human intervention outside business hours. No resolution time is guaranteed.

6. Intellectual Property and Ownership

6.1 Your Content and Applications

You retain full ownership of all applications, code, data, and content you deploy on NidApp. We build, deploy, and manage your applications in the cluster on your behalf, but you maintain complete ownership of your intellectual property.

  • Platform code, logos, trademarks, and documentation
  • All proprietary tools and technologies

6.3 License to Operate Your Services

By using NidApp, you grant us a limited, non-exclusive license to host, store, process, and deploy your applications solely for the purpose of providing the Service to you.

7. Acceptable Use Policy

7.1 Prohibited Content

You may NOT use NidApp to host, store, or distribute:

  • Illegal content: Content that violates French, European, or international law
  • Pornographic content: Adult content or sexually explicit material
  • Malware, viruses, or malicious code
  • Content that infringes on intellectual property rights

8. Account Termination and Cancellation

8.1 Cancellation by You

You may cancel your account at any time:

  • No notice required: Cancel immediately without advance notice
  • Immediate effect: Billing stops as soon as services are deleted
  • No cancellation fees: No penalties for cancellation

8.2 Data Retention After Termination

Upon account termination:

  • You may request the export of your data and of your configurations during the contract and for 30 days after its end
  • Formats provided: PostgreSQL dump for databases, file archive for volumes, deployment manifests for configurations
  • After those 30 days, your data is deleted, backups included, unless a legal retention obligation applies
  • A dated deletion certificate is issued on written request

8.3 Data Export

You can request a full export of your data at any time by contacting contact@nidapp.io. We will provide your data in a structured, machine-readable format.

We reserve the right to suspend or terminate your account if:

  • You violate these Terms or our Acceptable Use Policy
  • You fail to pay outstanding invoices
  • Your account poses a security risk to the platform
  • We are required to do so by law

9. Limitation of Liability

NidApp is bound by an obligation of means on the operation of the Service. Within the limits allowed by law:

  • Indirect damages are excluded from any compensation, in particular loss of business, loss of revenue, loss of customers and damage to image
  • Our total liability, all causes combined, shall not exceed the amount excluding tax you paid us in the 12 months preceding the triggering event
  • Loss of data that is not covered by the contractual backups defined in the signed agreement is not compensated
  • We are not liable for a failure of the cloud provider or of a sub-processor listed in the data processing agreement
  • We are not liable for a configuration error, an action or an omission of the customer, for a defect of your own application or of its dependencies, for a quota overrun, a volumetric attack or a force majeure event

For business customers, the liability clause of the signed service agreement prevails over this section.

10. Security and Data Protection

NidApp implements the following security measures:

  • TLS encryption in transit on all access to the platform and to your services
  • AES-256 encryption at rest, provided by the cloud provider
  • Connection credentials of managed services encrypted by NidApp at application level (AES-256-GCM) before storage
  • Role-based access control in the console: owner, administrator, viewer
  • Each deployed service runs in a dedicated Kubernetes namespace, isolated from the other customers
  • Continuous automatic monitoring, and security patches applied in the weekly maintenance window

For full details on how we handle your data, please see our Privacy Policy.

11. Compliance and Jurisdiction

11.1 GDPR Compliance

NidApp applies the GDPR: a record of processing activities is maintained, an article 28 data processing agreement is provided to customers, and data is hosted in the European Union. The ISO 27001 and SOC 2 certifications cover the Google Cloud infrastructure; NidApp holds neither of them and does not claim them.

11.2 Governing Law

These terms are governed by French law and by European Union law. For business customers, the signed service agreement is likewise governed by French law.

11.3 Dispute Resolution

In the event of a dispute, the parties first seek an amicable solution: one party notifies the other in writing and the parties have 30 days to come together. Failing agreement, the dispute is submitted to the jurisdiction of the French courts.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • Updating the "Last Updated" date
  • Sending an email notification to your registered email address
  • Displaying a prominent notice on the platform

Continued use of the Service after changes constitutes acceptance of the updated Terms.
